Friends, I'm looking to upgrade my 3 year old rig.
Only the CPU+MOBO+RAM will be upgraded for now.

exactly! thats why i'm keen on the RAM options.

So, the Phenom II+ GD70 combi would be the smarter buy for sure?

THe phenom is already clocked at 3.4Ghz and also power consumption is 40-50w more than the i-5 750.

The i-5 750 matches the higher clocked Phenom even in processor heavy games likes Crysis. Also as you are looking to OC its better to go for this lower clocked, Cooler chip.
