CPU/Mobo Need help regarding processor....

I have abit IP35E motherboard and currently I m using intel e 6550 2.33ghz overclocked at 3.16 ghz...bt i want to upgrade my cpu to i3 540..does my MB will support i3 540 and will there be any performace gain??

ati 4770 512mb ddr5
hp optical drive
wd 250 gb & seagate 1tb hd
