Is this X2 4400+ a Socket 939 chip or a Socket AM2 chip? Only the AM2 chip will work in this board, and only with DDR2 RAM. If its 939, forget about it.
Those 2 Intel P4 chips are not worth rescuing.

Get an Intel G3220 (3.7k) + Asus/Gigabyte H81 board (3.7k) + 4GB DDR3 (~2.7k) = 10.1k

AMD X2 4400+ is AM2 socket chip.
If you're absolutely sure its an AM2 chip, you could save a lot since you already have the DDR2 RAM sticks as well.
But since there are only 2 DDR2 slots on the Asrock board, you would be limited to a max of 4GB DDR2. The digilite board won't work at all, since there are no DDR2 slots, and your AM2 processor will not work with DDR3 sticks.

The G32xx setup will be faster. If you get an H81 board with an unlocked BIOS, you could overclock the G3258. Although on that POV PSU I would be hesitant.

Thanks a lot for your valuable replies.

1. For office work, will get ASRock 960GC-GS FX Motherboard as it supports windows xp sp3 os and office softwares work on windows xp only. Going through current market what AMD is offering today, I think you are right for saving AMD X2 4400+ chip. AMD processors on ASRock 960GC-GS FX will be upgradable as it supports about all the current processors which AMD is offering.

2. For Browsing, Little gaming, Download rig, 24x7 operation, and Watching HD movies, will get Intel G3220 or G3258+H81+4GB DDR3 setup on Windows 7 os.

3. Will sell off Pentium 4 505J and Intel 3.7extnreme single core processors.
