CPU/Mobo [SOLVED] Need Help PC Freeze at Windows Logo

My frnds PC freeze at Windows Logo.
CPU - Intel i3 2nd Gen
MoBo - Intel DH61WW
RAM - Transcend DDR3 4GB
GPU - Asus EN210 DDR3 1GB
HHD - Seagate - 500 GB
He has Recently Installed Win 7 Utimate and Pro 64Bits , Win 8.1. It boot properly at first boot sometimes but at Second boot it get freeze at Windows Logo ..
Is is Software issue or Hardware issue ??
Can one can help me ???

No its freeze while booting in Safe Mode too
No its on Single Boot .. He has tried Win 7 pro , ultimate and Win 8.1
But facing same issue
Should I submit MoBo for Replacement

Probably ram issue and also check default bios settings. Coz if you improperly mess with bios settings then too such stuff can happen.
Reset bios to default and try. Else remove all rams and try one stick at a time.
If you have two or more hdd or ssds connected, then connect only the one which contains os and try booting.
