PC Peripherals Need help in upgrading

I have a old machine lying around with following config:

1.P4 2.4 ghz processor
2.845 intel series motherboard
3.DDR 256 mb ram.

Want to upgrade only these 3 parts to

Motherboard: Asus M2N68-AM PLUS - 2.3k
Processor: Sempron LE1250 - 1.4k
RAM: Transcend 2GB DDR2 800 MHz - 1k
Is it worth it? How does sepron processor compare to say dual core intels?
 
This is a very low end sempron. It does not come close to the intel's dual core. If you wanna feel a good difference then go for the AthlonII X2 240- 2.9k. Very good processor. At stock it is as good as the E5300. But if its just a browsing/office rig a single core will do. If intent on sempron then go for the Sempron140(2.7GHz, single core, 45nm,AM3)-1.8k. Plus DDRII RAM prices are very high now
