Both seem to be evenly priced and from what benchmarks ive seen gtx470 is alightly ahead but some people say it has issues with overheating ?

For Rs. 15,800, I vouch for the HD5850 over the GTX470, which is well over Rs. 22,000

the HD5850 can be OCed easily to give HD5870 performance, GTX470 OC won't give GTX480 performance,(but will give additional heat + power consumption over it's already nice figures)

i wonder why its more expensive here ? in usa both are priced similarly...infact in newegg they are priced exactly same.

but i would get the 5850 if gtx470 is 7k more :S

470 has the small margin at the cost of extremely high power consumption and temperatures, not to mention the price. While the HD5850 has decent headroom for overclocking, one would prolly consider underclocking the GTX 470 to save the nearby PCI devices.

Cant go wrong with the HD5850.

i dont have power issues since i have a 750w psu.

but im wary of cards getting hot quickly because my current card died because of overheating!

For me, if money is not a concern plus physX and tessellation power is important to you then go for GTX470, though higher electrical bill for sure. But for money/power consumption/heating wise, HD5850 is the best choice ever... I said HD5850 is the best graphic cards ever made by Ati/AMD :).
