    • Will be using this PC as a visualization lab . System should be able to run minimum of 2 Guest operating systems (Windows Server 2008). Not expecting super fast computing but just adequate enough .
    • No Gaming , but would like to know if my existing 8800GTS would be compatible with new setup .

Your CPU supports virtualization, so, if you're happy with it's performance, you can just add more RAM and you're good to go.
However, buying DDR2 doesn't really make sense. I think your motherboard supports both DDR2 and DDR3, so you can buy a 8GB DDR3 stick, and if it works, but you still find the RAM less, then you can buy another 8GB stick.
Your motherboards support site says that it supports only 4GB modules, so you could buy 2*4GB but that may limit your upgrade options in the future, even though theres almost no price difference between 2*4GB and 1*8GB today.

I'd also suggest buying a 256 GB HDD, so that your VM's load smoothly. A Crucial MX100 256GB comes for about Rs.7600.

So..
RAM -16GB - Rs.10,000 - 12,000 (or Rs. 5,000 - 6,000 in case you decide not to upgrade the CPU+motherboard.)
SSD 256GB - Rs.7,500 ( http://www.onlyssd.com/product/crucial-mx100-256gb-ssd/ )

AMD FX 6300 CPU - Rs.7000 (ebay)
Gigabyte 970 motherboard Rs. - 6000
Either the DS3 from Flipkart (5725), or the DS3P (6250) from ebay.


So, 8GB RAM + SSD + CPU/mb ~ Rs.25,000.

Your cards PCI-e, so it should work.

If you've got ebay coupons, or can find better prices, you could save a thousand or two.
btw- used Core 2 Quads are availble for Rs.3200 on ebay.

Will my current setup if upgraded with 4GB DDR3 RAM be enough to run 2 virtual machine's with 512mb ram each ? Once again not expecting super results ...but just adequate enough ??

Depends on the OS. You'll need a 64bit OS as your host OS to access more than 3GB of RAM, and 64bit Windows needs about 2GB RAM without any programs loaded.
I don't think 512 is enough per VM. But if you've got no GUI it might suffice, and any Windows OS's you'll be able to use in 512MB VM's will be pre-XP ones. Anyway, if you're buying 4GB RAM, then you can always buy 1 stick, if you find it too painfully slow, then buy another.
