converting the format of audio track in AVI file - plz help

Hello guys, i have a video file whose audio track doesnt play properly in my media player. The audio track is mp3. Now i want to convert it to aac or ac3 or mp3 with a different parameter without losing the quality of the video track. In other words the video track should remain the same but the audio track should be in a different format as said supra.

Plz suggest a software which can perform this job without a hitch...

- Load the video

- Under Video select direct stream copy

- Under audio select full processing mode and then select compression

- Select the format and bitrate, quality settings, etc

- Under File -> Save as avi
