Laptops Is this Dell Studio 15 Laptop config worth it?

I came across this deal in the newspaper for a Dell Studio 15 Laptop with some E-value code S540505IN8(what is this?).

Specs are:

Intel Core 2 Duo Processor T6400

Windows Vista Home Premium(I don't want this. Can I downgrade to XP Pro?)

4GB DDR2 RAM

320GB SATA HDD

256MB ATI Mobility Radeon HD 4570

15.6 720p WLED Display with TruLife (1366X768 res.)

All this for 43,900/-. Seems like a good deal to me but I'm a bit out of touch with the laptop market these days so I thought I'd seek help from you guys. Is it value for money, overpriced or underpriced? Anything I should ask for or watch out for?

Also, how long is default warranty for? Is there extended warranty? If so, for how much?
 
fyi, thats 44k before tax an delivery charges.. although if you can bargain well u might get it at the above price by callin a dell rep!
