Legalities when opening a new venture

So a friend of mine likes an idea of his friend and wants to team up with him and open a company.

Basically he is an established free lance graphics designer who is now also dabbling with app development. He apparently likes an idea what his friend has and wants to develop software around it. But what should be legally done so that they have clear agreements, boundaries which recognizes them in their role etc? Is there a site which could give out such info. All I could suggest him to do is to find a corporate lawyer.
 
You don't need a lawyer, but a CA. Which city is your friend placed in? Bangalore? If he lives somewhere near Jayanagar/J.P. Nagar area, I can suggest a good CA.
