Use dbpoweramp to convert from any format to any format..
download the software here
and the codecs here
though in your case you just need that software as the codecs you need are built in.

Read the manual if you dont know how to use the software.. as I can see that though others have answered your question, you are again asking the same question.

No one is going to mention Exact Audio Copy + LAME ?

sid.abu : if you are encoding audio files now, mp4 would be a better choice. Try Nero's free aac codec.

This is what I use as well. Have heard good things about EAC+lame combo so you might want to try that too.
