CPU/Mobo Need Board+Proc+Ram for around 12K

hi ,
my current system is Intel E7200 + DG33FB + 4GB DDR2 (transcend) + 9400GT, have been using it as HTPC/Downloading Rig. the board is dead.. none of the sata ports work.
i'm thinking of getting rid of these three components and get

i3 - 2100, Gigabyte H67M-D2-B3 + 4GB Corsair 1333mhz DDR3. already have rest of the parts. SMPS: Corsair VX450. Cabinet : CM690

can i go ahead with the purchase or is there something better in the same price range ? and also what do you think about this specific board ? shall i stick with Giagbyte or try Asus ?
the proc + ram are working fine , how much can i expect if i sell these ?

which board should i get

H67M-D2-B3 or

H61M-S2P-B3 ?

i'll be getting the parts tomorrow. the system would be running for 14hrs a day. i need a stable board.
