Check KingKrool's guide in the tutorials section, although some options will differ between 2.6 and 2.4, a lot of it is the same.
The major difference I remember is that Linux 2.4 involves an additional "make dep" after running "make config" or whatever config method, while 2.6 did not.

yeah ujjwal is correct about make dep (or was it deps?). Read the included readme.
Make sure to include scsi emulation for 2.4.x if you want to do CD writing.
Why are u using RHEL3? It is old. If you are doing it in an office (and need support) let me tell u that RH will only support official Redhat kernels, so check up with them for an update.
