PC Upgrade What to do..

My config is:
Intel dual core E2140 1.6Ghz
Gigabyte G41M S2L
Transcend DDR2 Ram 800Mhz
Dynet DDR2 Ram 667Mhz
I-ball Stock power supply
I am confused what to do..
Earlier I was looking to upgrade my config to Amd but someone told me just update your proccy and everything will be fine..

I want to try my hands on DDR3 config but the problem is I am very tight on Budget...
Suggestions required what to do
