The atom combo is good only for a download rig , but since u are getting a rig it should be able to atleast surfing , playing videos etc on it smooth enough , for which atom is too slow , total pc consumption with atom will be around 50 watts . but it wont support widescreen resolution and with ur monitor display will be crappy and it has only 1 pci and ram slot .
The Celeron 420/430 is not good for download rig as it has more idle power consumption than a E2140 and less than half processing power . it lacks speedstep and EIST so idle consumption is high.
i was also thinking above 2 options when building my download rig but got amd instead .

Sempron LE processors are rated at 45 w and are 2x more powerful than atom , it runs cool even with stock fan and no other fans in case , just under 35 ° C on load . u can get 6100 chipset board with it and it will support widesceen resolution too and can run divx videos etc fine .
sempron LE 1150 + 6100 chipset mobo + 512mb ram will cost u just 3800, add hdd , case and dvd drive , ur download rig complete in 5-5.5k
this will be much better psu for a download rig , almost 100 % efficiancy as it uses a dc power adapter , so if u can spend little more , then get this through kmd and u will have 100% green pc
