It will fit but you cannot use the first memory slot on the board because the fan is blocking it. One thing you can do if you have four memory modules is to raise the fan above the heat spreader which you can do with the Noctua. So if you have two modules just use bank A2 and B2 and you will have no problems with this heatsink. Hope this helps.
