Honestly speaking there is no difference between them. Any particular reason for preferring an Intel board? There are some nice alternatives which cost a lot less.

The main difference between DG31 and DG35 is that DG35 has 4 slots for RAM instead of 2, DVI connector and more USB on rear. With DG31 you can install a USB bracket on rear. Otherwise no difference. Infact chipset, FSB etc is same.

But I guess Gigabyte G31M ES2L is a better choice considering that it can be overclocked and cheaper. But if Intel is a preference, I would advise for DG31 if you intend to install a Graphics card (So DVI becomes useless). But if DG35 is the choice, I would advise DG43xxx since it has more No. of USB. But there are two slots for RAM which limit you to 4GB (wouldnt be fully used with windows XP or Vista 32bit). But it has PCI-e 2.0. Both DG35 and DG43 cost about the same at Rs 4800.

4GB of memory is more than sufficient, so 2xDIMM slots is a non issue, so is the higher USB port count, unless you have appropriate peripherals to use them all at the same time.

The best option, like previously said is the Gigabyte G31 ES2L. Its overclocking potential nearly matches up to most P35 boards. I'm guessing your processor is a E7400, you could easily do ~3.4 Ghz with this board. Invest the remaining money on an OCZ Vendetta 2 or the likes.
