That should be around 23-24k and should be enough for the needs you have mentioned. But as Emil said follow the template so that you can get better suggestions based on your needs

DON'T SUGGEST BIOSTAR MOTHERBOARDS AS AT MY PLACE THEY ARE NOT AVAILABLE..

total-23-25k.Get a 1GB GPU as more the vRAM better it is for GTA4

Zebronics bijli without smps ~ 900
Palit or Zotac 9800gt 512mb @ 5.4k or sapphire 4670 @ 4.5k
Gigabyte 460W Superb @ 2.2k
This will be around 22.5k and you would be getting a future proof DDR3 setup , the remaining stuff like keaboard/mouse , speakers etc you can choose yourself depending on your budget ..

which one is better?

Gigabyte 785GM UD2H/MSI 785GM-E51
Palit or Zotac 9800gt 512mb or sapphire 4670

i mean what's the performance difference if it is not much then I will settle down for the lower one:)
 
No matter any gpu, get the 1GB version for GTA IV. Also, Nvidia's cards perform a bit better than the equivalent ATI cards in GTA IV.
9800 GT easily beats 4670 in that game. But again, don't forget to get a 1Gb one. 9800Gt may cost you 0.8k more than 4670.
