Thanks again for all tips/comments. Got it at last!. Slight change in specs because of after thought...

MSI P43-NeoF Mobo, Transcend 4gb, E7400, Zotac 9800GT 512MB, CM 334 + Corsair V450 PSU + 500GB HDD, Acer 23" monitor full HD..total damage almost 50k if I include the 1.1 KVA APC UPS that I got to buy to keep all this from frying.

740G is am2... HT 3.0 nt supported.

cheapest one can go is 4k for 760G from biostar.

so giga g31 + E7400 + aftermarket hsf it is for vfm... (E5200 would be more vfm though)

EDIT : Just realised that the purpose of the thread was already served :P :ashamed:
