CPU/Mobo Suggest CPU+Mobo for HTPC

Hi, I'm tired of my old noisy Dual Core + DG965RY mobo.
I'm looking for a new Mobo+Processor for my setup. I mainly use it as a media center for Movies , Music and Downloading. (Little or No gaming).

Requirements:

Should have a HDMI out.
Should natively support 1080p resolution (1920 * 1080 monitor resolution).
Should have a PCIe slot for my asus xonar dx; and preferebly a second PCI slot for my wifi adapter.
Should support atleast 2-3 SATA hdd's.
Cool and silent operation.

I have a Cooler Master extreme power 500w to power it.

I would like the setup to be as inexpensive as possible. Help me out with an estimated budget as well!
Willing to consider Atom based solutions, C2d's, i3's, or AMD equivalent... anything ..
 
Atom Based Solution will be costly and Atom will not come come with HDMI by default.

If you go for Fusion (MSI E350IA-E45) it again will come with a higher cost (About 6.5-7K), though, I will suggest you to go for Fusion.

Best would be to stick to AMD 880G with any Athlon X2.
 
Even I want this MSI E350IA-E45 since it can play almost all the formats available as of now at a low power and space requirement, but where is it available in 6.5-7k?

a few noob questions..

1. can i use a low end cheep processor like sempron and couple it with a entry level ati /nvidia card like 5xxx /8400 gs series for full HD ?

2. will the above cards bit stream HD audio through HDMI ?

3. will the low end processors decode dolby/DTS 5.1 so that it can be played through motherboards analog audio outs ? (or down mix HD audio to 5.1 analog out )

For HD decoding u need right set of codec and GPU.A sempron with HD 5xxx can easily play HD videos.

Yes. off-course

Dolby/DTS 5.1 decoding is related to Sound card so if card support it'll O/P at analog audio ports.
