Looking for:

- Abit ep35 or similar motherboard, which OC's well. Budget 5k-ish. Planning to run it with e7300/7400.

- PSU of a reputed brand 450watts+. Budget 3k.

- GPU equivalent to HD4850 or better. 7-12k.

Abit IP35-E is not worth 5k anymore, it was 5.3k new. Dont pay over 3.5k, I sold mine @ 2.8k+ship

U have 20k budget, get following -
Gigabyte GA-G31M-S2L 2.4k / GIGABYTE GA-P31-ES3G 3k
Corsair VX 450W 3.8k
MSI Quad Heatpipe HD 4870 12.8k

I would get the g31/p31, but I'm scared its going to be very limiting. I want to be able to run 3.8ghz+(24/7 stable) when I get a cpu cooler. Either true/ocz vendetta-2 or sunbeam ccf.

Would that be possible? Considering piblacks/mushkin memory, vx450 and hd4870.

The performance gain beyond 3.4-3.6Ghz is very limited. It's always better to stick to stock volts, the giga G31 will easily handle all that, and wont give you heartache when it's time to replace it for future upgrades.
I think you may be underestimating this board based on its price.

EDIT: Your final OC potential depends on many things, not the least of which is the batch your chip belongs to.
