A: i want to retire my 7 MP Point and shoot, having a camera good enough to take pics in a tour or any casual occasion is handy.
apart from it , i don't take pics much...

Get Xperia S.

Alternates: HTC One S if you like AMOLED screen or you can also increase budget a bit and get One X. Also Droid razr maxx if battery life is most important to you.

If camera required is 12MP, Xperia S is your only option. :)
Since you have Such high budget, Don't buy anything other than Xperia S or One X (Or Galaxy Note if you can handle its size, Check it in person before buying).
One S available in India doesn't have S4 Krait Chipset, It comes with last generation S3 chipset.. So it is not worth the money. Also its screen is Pentile AMOLED. HD screens are way better.
If insane battery life is not a must, don't buy RAZR MAXX too. It is not worth the price. Its screen is not that good too.

One X has One of the best HD screens on the market and its performance is exceeded only by GS3. But its camera is not upto the mark. Even last year's GS2 takes much better photos than One X. It costs much more than Xperia S, but if you keep an eye on Homeshop18 Superdeals, you can get it for as low as 30k. Check this link. It is an expired deal, but they might bring it back. they have given this deal 3 times.

Xperia S has a nice HD screen and although its performance is no match for One X, it is pretty good. Since there are not many applications, games that utilize the extra cores of One X, Xperia S should be sufficient for 99 percent of the times. And it has one of the best cameras on Android phones. It is surpassed only by N8 and PureView 808 (which run Symbian). It also has good Audio quality. It has been updated to ICS by Sony in June. So Internet performance should be great.

Find somebody with ICICI bank account and use ICICIEOSS1 for debit cards and ICICIEOSS2 for credit cards to get 1k off in Ebay..
You can get Xperia S for 27k with manufacturer Warranty.
It is the best you can get for that price.
