if change my processor to Phenom II X4 955 and keeping the same Mobo,than its performances will be hampered or not it will be fine

Why are you changing the proccy,the performance may affect in overclocking due to AM3 socket,you don't have to change proccy,just do the cleaning and adding thermal compound would give you a good performance.
